PROFITILITY – BETA TESTER AGREEMENT

This Beta Tester Agreement (“Agreement”) governs your participation in the Profitility beta testing program (“Beta Program”) for the Profitility application (“App” or “Service”) operated by Grindstone Holdings LLC (“Company,” “we,” “our,” or “us”).
By participating in the Beta Program, you agree to the terms below. If you do not agree, you may not participate.
1. Purpose
The Beta Program allows users to access pre-release versions of Profitility to:
- Test new features
- Provide feedback
- Identify bugs or performance issues
Participation is voluntary and does not guarantee future access to the App or subscription benefits.
2. Eligibility
To participate, you must:
- Be at least 18 years old
- Have a valid Profitility account in good standing
- Agree to maintain confidentiality
- Comply with all applicable laws
3. License & Access
- You are granted a limited, non-exclusive, non-transferable, revocable license to access the Beta version of the App.
- This license is for personal, non-commercial use only.
- Beta features may be unstable, incomplete, or removed at any time.
4. Feedback & Intellectual Property
- You agree to provide feedback to the Company regarding your Beta experience, including:
- Bug reports
- Feature suggestions
- User experience insights
- All feedback you provide is the exclusive property of Grindstone Holdings LLC.
- You waive any moral rights and agree that the Company may use feedback for any purpose, including commercial purposes, without compensation.
5. Confidentiality
- Beta software and features are confidential and proprietary.
- You may not disclose, distribute, or share Beta features with any third party.
- Screenshots or recordings of Beta content require written permission.
- Confidentiality obligations survive the end of participation in the Beta Program.
6. Risks & Disclaimer
- Beta versions are provided “AS IS” and may contain errors, bugs, or incomplete features.
- Participation may result in:
- Data loss
- Feature malfunction
- Device performance issues
- You assume all risk arising from participation.
- Grindstone Holdings LLC is not liable for any damages, including loss of data, income, or profits, incurred during Beta testing.
7. Data Collection
During the Beta Program, the Company may collect:
- Usage data
- Performance logs
- Bug reports
- Account and subscription status
All collected data is used solely to improve the App and provide analytics.
8. Termination
- The Company may terminate your participation at any time for any reason, including violation of this Agreement.
- You may voluntarily withdraw from the Beta Program at any time.
- Upon termination, all Beta features and access will be disabled.
9. Non-Affiliation
Participation in the Beta Program does not imply affiliation with, endorsement by, or sponsorship from any third-party platform whose data may be used in Profitility.
10. Governing Law & Dispute Resolution
- This Agreement is governed by the laws of the State of Tennessee.
- Disputes arising from this Agreement are subject to binding arbitration in Tennessee, except where prohibited by law.
