1. PURPOSE
Grindstone Holdings LLC respects intellectual-property rights and responds to copyright complaints consistent with applicable United States law, including the Digital Millennium Copyright Act (DMCA).
2. COPYRIGHT INFRINGEMENT NOTICE
A copyright complaint should identify the copyrighted work and allegedly infringing material, provide sufficient information to locate the material, provide the complaining party's contact information, state a good-faith belief that the use is unauthorized, state under penalty of perjury that the notice is accurate and the sender is authorized to act, and include a physical or electronic signature.
3. COUNTER-NOTIFICATION
A person whose material is removed or disabled in response to a copyright complaint may submit a counter-notification containing the information required by applicable law, including identification of the removed material, a statement under penalty of perjury regarding mistake or misidentification, appropriate consent to jurisdiction, contact information, and a signature.
4. RESPONSE TO NOTICES
The Company may remove or disable access to material when appropriate, notify affected users when appropriate, forward notices or counter-notices as legally permitted, and take other actions reasonably necessary to address copyright complaints.
5. REPEAT INFRINGEMENT
The Company may suspend or terminate users who repeatedly infringe copyrights or other intellectual-property rights when appropriate.
6. SUBMISSION OF DMCA NOTICES
Send copyright notices and related correspondence to Grindstone Holdings LLC, PO Box 492, Collegedale, TN 37363, or support@profitility.app. If the Company maintains a separately registered designated DMCA agent, notices may also be directed to the then-current agent information on file with the U.S. Copyright Office.
7. NO LEGAL ADVICE
This policy provides a process for copyright complaints and does not constitute legal advice. A person considering a DMCA notice or counter-notification should consult qualified counsel if legal guidance is needed.
8. ENFORCEMENT AND TERMINATION
The Company may suspend or terminate access for violation of applicable terms, including fraud, abuse, unlawful activity, or conduct that threatens the security or integrity of the Service.
9. ARBITRATION
Any dispute arising out of or relating to this policy shall be resolved by binding arbitration in Hamilton County, Tennessee, except where prohibited by law. You waive the right to participate in class actions or class-wide proceedings.
10. MODIFICATIONS AND VERSIONING
The Company may modify this policy from time to time. Material changes may be communicated through an updated Effective Date, in-app notice, email when available, or affirmative acceptance where required. Profitility may use the Version: field to administer applicable re-acceptance requirements.
11. GOVERNING LAW
This Agreement is governed by the laws of the State of Tennessee, United States, with venue and jurisdiction in Hamilton County, Tennessee.
