This Digital Millennium Copyright Act (“DMCA”) Copyright Policy (“Policy”) applies to the Profitility mobile and web application and related services (collectively, the “Service”) operated by Grindstone Holdings LLC (“Company,” “we,” “our,” or “us”).

By accessing or using the Service, you agree to comply with this Policy.

 


1. Purpose

This Policy establishes procedures for addressing claims of copyright infringement in accordance with the United States Digital Millennium Copyright Act (17 U.S.C. § 512).

It applies to all users who submit, upload, store, or share content through the Service.

 


2. Reporting Copyright Infringement

If you believe that copyrighted material has been used in a manner that constitutes infringement, you may submit a written notification to our Designated Copyright Agent.

A valid DMCA notification must include:

  1. A physical or electronic signature of the copyright owner or authorized agent

  2. Identification of the copyrighted work claimed to have been infringed

  3. Identification of the material claimed to be infringing, including its location within the Service (such as a URL or account reference)

  4. Your contact information, including:

    • Full legal name

    • Mailing address

    • Telephone number

    • Email address

  5. A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law

  6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner

Incomplete notices may not be processed.

 


3. Counter-Notification

If you believe that material you submitted was removed or disabled due to mistake or misidentification, you may submit a counter-notification.

A valid counter-notification must include:

  1. Your physical or electronic signature

  2. Identification of the material removed or disabled and its prior location

  3. A statement under penalty of perjury that you have a good faith belief the material was removed or disabled due to mistake or misidentification

  4. Your contact information, including:

    • Full legal name

    • Mailing address

    • Telephone number

    • Email address

  5. A statement consenting to the jurisdiction of the Federal District Court for your judicial district, or if outside the United States, consenting to jurisdiction in any district where the Company may be found

Upon receipt of a valid counter-notification, the Company may restore the removed material unless the original complainant files a lawsuit within ten (10) to fourteen (14) business days.

 


4. Repeat Infringer Policy

In accordance with the DMCA, the Company reserves the right to suspend or terminate accounts of users determined to be repeat infringers.

The determination of repeat infringement is made at the Company’s sole discretion.

 


5. Safe Harbor Compliance

Grindstone Holdings LLC intends to comply fully with DMCA safe harbor provisions.

We:

  • Promptly review and respond to valid DMCA notices

  • Remove or disable access to allegedly infringing material

  • Maintain a designated agent for DMCA notices

  • Take reasonable steps to address repeat infringement

Users are responsible for ensuring that any content they upload, store, or transmit does not infringe the intellectual property rights of others.

 


6. Misrepresentation

Any person who knowingly misrepresents that material is infringing, or that material was removed by mistake, may be liable for damages under applicable law.

 


7. Relationship to Other Agreements

This Policy should be read in conjunction with:

  • Terms of Service

  • Acceptable Use Policy

  • Privacy Policy

  • End User License Agreement (EULA)

In the event of conflict, the Terms of Service shall control.

 


8. Modifications to This Policy

We may update this DMCA Policy to reflect legal or operational changes.

Notice may be provided through:

  • In-app notification

  • Email

  • Updated Effective Date

Continued use of the Service after revisions constitutes acceptance of the updated Policy.
