This Digital Millennium Copyright Act (“DMCA”) Copyright Policy (“Policy”) governs your use of the Profitility mobile application and related services (collectively, the “Service”).
By accessing or using the Service, you agree to comply with this Policy.
1. Purpose
This Policy establishes procedures for addressing claims of copyright infringement in accordance with the United States Digital Millennium Copyright Act (17 U.S.C. § 512).
2. Reporting Copyright Infringement
If you believe that copyrighted material has been used in a manner that constitutes infringement, you must submit a written notification to the Company.
A valid DMCA notification must include:
• A physical or electronic signature of the copyright owner or authorized agent
• Identification of the copyrighted work claimed to have been infringed
• Identification of the material claimed to be infringing, including its location within the Service
• Your contact information, including name, address, telephone number, and email address
• A statement that you have a good faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information is accurate

Incomplete notices may not be processed.
3. Counter-Notification
If you believe material was removed or disabled due to mistake or misidentification, you may submit a counter-notification.
A valid counter-notification must include:
• Your physical or electronic signature
• Identification of the material removed and its prior location
• A statement, under penalty of perjury, that removal was a mistake
• Your contact information
• A statement consenting to jurisdiction of the appropriate court
Upon receipt of a valid counter-notification, the Company may restore the material unless legal action is initiated.
4. Repeat Infringer Policy
The Company may suspend or terminate access for violation of these terms, including fraud, abuse, or unlawful activity.
5. Safe Harbor Compliance
The Company intends to comply with applicable DMCA safe harbor provisions.
Users are responsible for ensuring that content they submit does not infringe the rights of others.
6. Misrepresentation
Any person who knowingly misrepresents claims of infringement or wrongful removal may be liable under applicable law.
7. Third-Party Services
The Service relies on third-party providers for infrastructure, analytics, and related services.
We are not responsible for service interruptions, data loss, or performance issues caused by third parties.
8. Modifications
The Company may modify these terms at any time. Continued use of the Service constitutes acceptance of the revised terms.
Material changes may be communicated through:
• In-app notification
• Email (if available)
• Updated Effective Date
9. Arbitration
Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in Hamilton County, Tennessee, except where prohibited by law. You waive the right to participate in class actions or class-wide proceedings.
10. Limitation of Liability
To the fullest extent permitted by law, Grindstone Holdings LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost wages, or data inaccuracies.
11. Governing Law
This Agreement is governed by the laws of the State of Tennessee, United States, with venue and jurisdiction in Hamilton County, Tennessee.
