This End User License Agreement (“Agreement”) is a binding legal agreement between you (“User,” “you,” or “your”) and Grindstone Holdings LLC (“Company,” “we,” “us,” or “our”) governing your access to and use of the Profitility Mobile Application and related services (collectively, the “App”).
By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree, do not download or use the App.
The App is intended only for individuals who are at least eighteen (18) years of age. By using the App, you represent and warrant that you are 18 years of age or older.
1. Scope of License
Grindstone Holdings LLC grants a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes.
You shall not:
• Copy, modify, reverse engineer, decompile, or disassemble the App
• Circumvent subscription or payment mechanisms
• Extract, scrape, or resell data
• Use the App for unlawful, fraudulent, or abusive purposes
This license does not grant you any ownership rights in the App or its intellectual property.
2. Ownership
The App, including all software, algorithms, Optical Character Recognition (“OCR”) processing methods, analytics models, databases, text, graphics, designs, trademarks, and branding, is the exclusive property of Grindstone Holdings LLC and is protected by United States and international intellectual property laws.
3. Accounts and User Responsibilities
You are responsible for:
• Maintaining the confidentiality of your account credentials
• All activity conducted under your account
• Ensuring uploaded data is accurate and in accordance with applicable laws
• Maintaining independent financial and tax records
You remain solely responsible for all tax filings, accounting records, compliance obligations, and financial decisions.
We are not responsible for losses resulting from unauthorized access to your account.
4. Subscriptions, Free Trial & Auto-Renewal
Certain features require a paid subscription (“Pro Services”).
Pricing
• Monthly Subscription: $7.99 per month
• Annual Subscription: $79.99 per year
Pricing is subject to change.
Free Trial
A thirty (30) day free trial may be offered through the applicable platform provider. Unless canceled at least twenty-four (24) hours before the end of the trial period, the subscription will automatically convert to a paid subscription.
Billing & Renewal
Subscriptions:
• Automatically renew unless canceled prior to renewal
• Are billed through Apple In-App Purchase or Google Play Billing
• May be managed through platform account settings
All payments are processed through Apple In-App Purchase or Google Play Billing. The Company does not collect or store payment information.
All payments are final. Refunds, if any, are governed solely by the applicable platform provider’s policies.
5. Free Tier Access
The App may offer limited free functionality. Access to certain features or stored data may require an active subscription.
6. Data Processing & Account Deletion
The App may:
• Use OCR technology to extract text from uploaded content
• Store structured financial and operational data
• Utilize third-party infrastructure for system functionality
Users may request deletion of their account at any time through the App or by contacting support at support@profitility.app.
If a user requests account deletion:
• The account is immediately deactivated
• Access to the account is suspended
• The account enters a thirty (30) day deactivation period
During this period:
• The user may restore the account by logging in
• No permanent deletion occurs until the thirty (30) day period expires
If the account is not restored within thirty (30) days:
• The account and associated data will be permanently deleted
• Backup data may be retained for a limited period for system integrity purposes
Users may request immediate permanent deletion, in which case:
• The account is permanently deleted without a recovery period
• Data cannot be restored once deletion is completed
7. Data Retention
We retain user data only as long as necessary to provide the Service, comply with legal obligations, prevent fraud, and maintain system integrity.
Data may be retained after account deletion where required for:
• Legal obligations
• Fraud prevention or security
• Dispute resolution
• System backup cycles
Retained data is minimized, protected, and not used for marketing purposes.
8. Data Ownership
Users retain ownership of their data. The Company is granted a limited license to store, process, and analyze data solely to operate the Service.
9. Third-Party Services
The Service relies on third-party providers for infrastructure, analytics, OCR processing, and payment processing.
We are not responsible for service interruptions, data loss, or performance issues caused by third parties.
10. OCR & Data Accuracy
All OCR-extracted data and analytics outputs are informational estimates only and may contain errors.
11. Tax & Financial Disclaimer
The Service provides informational and organizational tools only and does not constitute tax, legal, accounting, or financial advice.
12. Platform Non-Affiliation
Profitility is not affiliated with, endorsed by, or sponsored by any third-party delivery or gig platform.
13. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE.”
We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy or reliability.
14. Limitation of Liability
To the fullest extent permitted by law, Grindstone Holdings LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost wages, or data inaccuracies.
This includes, without limitation:
• Tax penalties or audit outcomes
• OCR errors or data extraction inaccuracies
• Financial or business decisions made using the Service
Total liability shall not exceed:
• The amount paid by the user in the twelve (12) months preceding the claim, or
• Fifty dollars ($50) if no payment has been made
15. Indemnification
Users agree to indemnify and hold harmless Grindstone Holdings LLC from claims arising from:
• Misuse of the Service
• Violation of this Agreement
• Fraudulent or unlawful activity
• User-provided data or financial decisions
16. Enforcement / Termination
The Company may suspend or terminate access for violation of these terms, including fraud, abuse, or unlawful activity.
17. Arbitration
Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in Hamilton County, Tennessee, except where prohibited by law. You waive the right to participate in class actions or class-wide proceedings.
18. Modifications
The Company may modify these terms at any time. Continued use of the Service constitutes acceptance of the revised terms.
Material changes may be communicated through:
• In-app notification
• Email (if available)
• Updated Effective Date
19. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
20. Entire Agreement
This Agreement constitutes the entire agreement between you and Grindstone Holdings LLC regarding the Service.
21. Governing Law
This Agreement is governed by the laws of the State of Tennessee, United States, with venue and jurisdiction in Hamilton County, Tennessee.
