PROFITILITY – INTELLECTUAL PROPERTY & COPYRIGHT POLICY

This Policy describes ownership, permitted use, user-content rights, copyright expectations, and intellectual-property protections applicable to Profitility.
1. COMPANY INTELLECTUAL PROPERTY
All intellectual property in the Service, including software, source and object code, algorithms, designs, interfaces, branding, names, logos, graphics, text, databases, analytics systems, workflows, documentation, and proprietary processing methods, is owned by Grindstone Holdings LLC or its applicable licensors.
2. LIMITED LICENSE
Grindstone Holdings LLC grants a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes.
No ownership interest in the Service or Company intellectual property is transferred by access to or use of Profitility.
3. PROHIBITED USES
Except where expressly permitted by applicable law or written authorization, users may not:
• Copy, reproduce, modify, distribute, publish, or create derivative works from protected Service materials.
• Reverse engineer, decompile, disassemble, or attempt to derive source code or proprietary methods.
• Remove or alter copyright, trademark, attribution, or proprietary notices.
• Use Profitility branding in a manner likely to imply sponsorship, endorsement, or affiliation.
• Resell, sublicense, commercially redistribute, scrape, or replicate the Service or its proprietary content.
• Use Company intellectual property to build or train a competing product or service without authorization.
4. USER DATA AND CONTENT
Users retain ownership of the data and content they provide. The Company is granted a limited license to store, process, analyze, and display that data as reasonably necessary to operate, maintain, secure, support, and improve the Service.
This license does not transfer ownership of user data to the Company and does not authorize unrelated sale of user personal data.
5. FEEDBACK
If you voluntarily provide suggestions, ideas, comments, or feedback about Profitility, you grant the Company permission to use that feedback to evaluate, develop, maintain, and improve the Service without an obligation to compensate you, provided that this does not transfer ownership of separately identifiable user data.
6. THIRD-PARTY NAMES AND MATERIALS
Third-party names, trademarks, service marks, logos, copyrighted materials, and other intellectual property remain the property of their respective owners.
Profitility is not affiliated with, endorsed by, or sponsored by any third-party delivery or gig platform. References to third-party platform names are for identification, categorization, recordkeeping, or explanatory purposes and do not imply affiliation unless expressly stated.
7. COPYRIGHT COMPLAINTS AND DMCA
The Company respects intellectual-property rights. Copyright complaints concerning material available through the Service should be submitted in accordance with the current Profitility DMCA Copyright Policy.
Nothing in this Policy represents that a particular DMCA designation or registration exists unless separately confirmed by the Company’s current published DMCA information.
8. USER RESPONSIBILITY
Users must have the rights or lawful authority necessary to submit content to the Service. Users may not knowingly upload or use content in a manner that infringes another person’s copyright, trademark, privacy, publicity, or other proprietary rights.
9. ENFORCEMENT
The Company may remove or restrict access to content and may suspend or terminate accounts for infringement, repeated infringement, misuse of intellectual property, fraud, abuse, unlawful activity, or other violations of applicable agreements.
10. NO IMPLIED RIGHTS
All rights not expressly granted are reserved by Grindstone Holdings LLC and its applicable licensors. No license arises by implication, estoppel, or otherwise except as expressly stated.
11. CHANGES TO THIS POLICY
The Company may modify this Policy from time to time. Material changes may be communicated by in-app notice, email when available, an updated Effective Date, or a request for affirmative acceptance where required.
12. SEVERABILITY
If any provision of this Policy is found unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.
13. GOVERNING LAW
This Agreement is governed by the laws of the State of Tennessee, United States, with venue and jurisdiction in Hamilton County, Tennessee.
