This Intellectual Property & Copyright Policy (“Policy”) explains the ownership, protection, and permitted use of intellectual property within the Profitility application (“App” or “Service”). By using Profitility, you agree to comply with this Policy.

1. OWNERSHIP OF INTELLECTUAL PROPERTY

All software, source code, algorithms, databases, analytics models, designs, user interfaces, graphics, logos, and branding within the Service are the exclusive property of Grindstone Holdings LLC.

No rights, title, or interest in the Service are transferred to users except for the limited license expressly granted in this Policy.

2. LICENSE TO USERS

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download, install, and use the App on devices you own or control
• Access and use the Service strictly in accordance with the EULA and Terms of Service
• Use the Service solely for personal, non-commercial independent contractor purposes

This license does not grant ownership rights in the Service or any intellectual property.

3. PROHIBITED USES

You shall not:

• Copy, modify, reproduce, distribute, or publicly display the Service or any portion thereof
• Sell, resell, sublicense, or transfer access to the Service or outputs
• Reverse engineer, decompile, disassemble, or attempt to extract source code, models, or algorithms
• Bypass or attempt to bypass security or subscription controls
• Use the Service for commercial resale, aggregation, or service bureau purposes
• Upload or use content that infringes third-party intellectual property rights
• Use the Service to facilitate infringement, piracy, or unauthorized distribution

Violation may result in suspension or termination of access.

4. COPYRIGHT INFRINGEMENT (DMCA)

We comply with the Digital Millennium Copyright Act (“DMCA”), 17 U.S.C. § 512.

DMCA notices shall be submitted to:

A valid DMCA notice must include:

• Identification of copyrighted work
• Identification of infringing material and location in the Service
• Contact information (name, address, phone, email)
• Statement of good faith belief of unauthorized use
• Statement under penalty of perjury of accuracy
• Signature (physical or electronic)

We may remove or disable access to allegedly infringing material upon receipt of valid notice.

5. USER-GENERATED CONTENT

Users retain ownership of content they submit.

By submitting content, you grant us a limited, non-exclusive, worldwide, royalty-free license to:

• Store and process content for Service functionality
• Display and analyze content within the Service
• Improve system performance and analytics

No ownership is transferred.

6. REPORTING IP VIOLATIONS

Reports may be submitted to:

support@profitility.app

Reports should include:

• Description of violation
• Location of content
• Supporting details if available

7. MODIFICATIONS

We may modify this Policy at any time.

Notice may be provided via:

• In-app notification
• Email
• Updated Effective Date

Continued use constitutes acceptance. Where required, affirmative acceptance may be required.

8. RELATIONSHIP TO OTHER AGREEMENTS

This Policy shall be read in conjunction with:

• EULA
• Terms of Service
• Acceptable Use Policy
• Privacy Policy

In the event of conflict, the EULA and Terms of Service control.
