PROFITILITY – SUBSCRIPTION TERMS

These Subscription Terms (“Terms”) govern all paid subscription services offered through the Profitility mobile and web application and related services (collectively, the “Service”) operated by Grindstone Holdings LLC (“Company,” “we,” “our,” or “us”).
By subscribing to the Service, you agree to these Subscription Terms in addition to the Terms of Service, End User License Agreement (EULA), Privacy Policy, and Acceptable Use Policy. If you do not agree, do not subscribe to or use subscription features.
1. Subscription Plans
1.1 Free Version
The Free version includes:
- Manual order entry
- Current and prior month history
- Expense tracking
- Limited mileage history
- No data export functionality
The Free version remains available indefinitely.
1.2 Pro Version
The Pro subscription includes:
- Screenshot OCR input for delivery offers
- Unlimited order history
- Downloadable tax and financial data exports
- Full expense and mileage history
- Priority access to beta features
Pro features require an active paid subscription.
2. Trial & Beta Access
2.1 Free Trial
- New users may receive a one (1) month free trial of Pro features.
- Trial access requires account registration.
- Trial access may be revoked for abuse, duplicate accounts, or violation of the Acceptable Use Policy.
Unless canceled before the trial period ends, the subscription will convert to a paid plan and auto-renew under the applicable billing cycle.
2.2 Beta Access
- Beta testers may receive up to one (1) year of complimentary Pro access.
- Beta access may be modified, revoked, or terminated at any time at the Company’s discretion.
- Beta programs may be discontinued without notice.
Misuse of trial or beta access constitutes a violation of the Acceptable Use Policy.
3. Billing & Payment
Pro subscriptions are billed as follows:
- Monthly Plan: $7.99 per month
- Annual Plan: $79.99 per year
Pricing may be updated in accordance with Section 7 of these Terms.
All payments are processed exclusively through:
- Apple In-App Purchase
- Google Play Billing
- Other authorized platform payment processors
The Company does not collect or store credit card numbers or banking information.
3.1 Auto-Renewal
- Subscriptions automatically renew at the end of each billing period unless canceled.
- You may cancel at any time through your App Store or Google Play account settings.
- Cancellation prevents future charges but does not refund prior payments.
- Pro access remains active until the end of the current paid billing cycle.
3.2 Refunds & Credits
All payments are final.
To the maximum extent permitted by law:
- No refunds or prorated credits are provided for mid-cycle cancellations.
- No refunds are provided for downgrades.
- Refund requests must be directed to Apple or Google, as applicable, in accordance with their policies.
The Company does not issue direct refunds for purchases processed through third-party platforms.
4. Downgrades & Subscription Expiration
If your Pro subscription expires or you downgrade to Free:
- Historical Pro data is locked but not deleted.
- Screenshot OCR uploads are disabled.
- Tax export tools are disabled.
If you resubscribe, previously locked Pro data and features will be restored, subject to system availability.
5. Payment Disputes
You are responsible for resolving billing disputes directly with:
- Apple
- Google Play
- The applicable payment processor
The Company is not responsible for payment failures, declined transactions, or processor delays.
6. Acceptable Use of Subscription Features
Subscription features must be used in compliance with:
- These Subscription Terms
- The Acceptable Use Policy
- The Terms of Service
Misuse of subscription features, including fraudulent data entry, multi-account abuse, reselling Pro features, or commercial exploitation, may result in immediate suspension or termination.
7. Changes to Subscription Terms or Pricing
The Company may modify subscription pricing, feature tiers, or plan structures at its discretion.
Material changes may be communicated through:
- In-app notification
- Email
- Updated Effective Date
Continued use of subscription services after changes become effective constitutes acceptance of the updated Terms.
8. Suspension & Termination
We may suspend or terminate subscription access if you:
- Violate these Subscription Terms
- Violate the Acceptable Use Policy or Terms of Service
- Engage in fraudulent, abusive, or unlawful activity
Termination does not entitle you to refunds for prior payments.
9. Intellectual Property
Subscription access grants a limited, non-exclusive, non-transferable license to use Pro features.
No ownership rights are transferred.
All software, analytics models, OCR processes, proprietary tools, and branding remain the exclusive property of Grindstone Holdings LLC.
10. Limitation of Liability & Indemnification
To the maximum extent permitted by law, Grindstone Holdings LLC is not liable for:
- Lost profits, wages, or anticipated earnings
- Lost tax deductions or financial opportunities
- Data inaccuracies or locked historical data
- OCR errors or incorrect analytics
You agree to indemnify and hold harmless Grindstone Holdings LLC from claims arising out of:
- Misuse of subscription features
- Violation of these Terms
- Fraudulent or unlawful conduct
11. Governing Law & Dispute Resolution
These Subscription Terms are governed by the laws of Tennessee, United States, without regard to conflict of law principles.
Disputes shall be resolved through binding arbitration in Tennessee, except where prohibited by law.
You waive the right to participate in class actions or class-wide arbitration.
