PROFITILITY – SUBSCRIPTION TERMS

These Subscription Terms (“Terms”) govern all paid subscription services offered through the Profitility mobile application and related services (collectively, the “Service”) operated by Grindstone Holdings LLC (“Company,” “we,” “us,” or “our”).
By subscribing to the Service, you agree to these Terms.
1. Subscription Plans
Free Version
The Service may include limited free functionality.
Pro Version
Certain features require a paid subscription.
2. Trial & Beta Access
A free trial may be offered through the applicable platform provider. Unless canceled before the trial period ends, the subscription will automatically convert to a paid subscription.
Beta access may be modified or revoked at any time.
3. Billing & Payment
Subscriptions:
• Monthly Subscription: $7.99
• Annual Subscription: $79.99
Pricing is subject to change.
All payments are processed through Apple In-App Purchase or Google Play Billing. The Company does not collect or store payment information.
All payments are final. Refunds, if any, are governed solely by the applicable platform provider’s policies.
4. Auto-Renewal
Subscriptions automatically renew unless canceled prior to renewal.
Subscriptions may be managed through platform account settings.
5. Subscription Changes
Changes to subscription status may result in modified access to features.
6. Payment Disputes
Payment disputes must be resolved through the applicable platform provider.
7. Acceptable Use
Use of subscription features must comply with all applicable policies.
8. Data Ownership
Users retain ownership of their data. The Company is granted a limited license to store, process, and analyze data solely to operate the Service.
9. Third-Party Services
The Service relies on third-party providers for infrastructure, analytics, OCR processing, and payment processing.
We are not responsible for service interruptions or failures caused by third parties.
10. OCR & Data Accuracy
All OCR-extracted data and analytics outputs are informational estimates only and may contain errors.
11. Tax & Financial Disclaimer
The Service provides informational and organizational tools only and does not constitute tax, legal, accounting, or financial advice.
12. Platform Non-Affiliation
Profitility is not affiliated with, endorsed by, or sponsored by any third-party delivery or gig platform.
13. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE.”
We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy or reliability.
14. Limitation of Liability
To the fullest extent permitted by law, Grindstone Holdings LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost wages, or data inaccuracies.
This includes, without limitation:
• Tax penalties or audit outcomes
• OCR errors or data extraction inaccuracies
• Financial or business decisions made using the Service
Total liability shall not exceed:
• The amount paid by the user in the twelve (12) months preceding the claim, or
• Fifty dollars ($50) if no payment has been made
15. Indemnification
Users agree to indemnify and hold harmless Grindstone Holdings LLC from claims arising from:
• Misuse of the Service
• Violation of these Terms
• Fraudulent or unlawful activity
• User-provided data or financial decisions
16. Enforcement / Termination
The Company may suspend or terminate access for violation of these terms, including fraud, abuse, or unlawful activity.
17. Arbitration
Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in Hamilton County, Tennessee, except where prohibited by law. You waive the right to participate in class actions or class-wide proceedings.
18. Modifications
The Company may modify these terms at any time. Continued use of the Service constitutes acceptance of the revised terms.
Material changes may be communicated through:
• In-app notification
• Email (if available)
• Updated Effective Date
19. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
20. Entire Agreement
These Terms constitute the entire agreement regarding subscription services between you and Grindstone Holdings LLC.
21. Governing Law
This Agreement is governed by the laws of the State of Tennessee, United States, with venue and jurisdiction in Hamilton County, Tennessee.
