PROFITILITY – EARLY ADOPTER AGREEMENT & DISCLOSURE

This Early Adopter Agreement & Disclosure (“Early Adopter Agreement”) governs participation in Profitility Early Adopter Access. It supplements the Profitility EULA, Terms of Service, Privacy Policy, and other applicable policies.
By accepting this Early Adopter Agreement and using Early Adopter Access, you acknowledge the program terms below.
1. PURPOSE OF EARLY ADOPTER ACCESS
Early Adopter Access allows eligible users to use Profitility during an important stage of its development before the Company’s paid launch. Early Adopters may experience features that continue to evolve as Profitility is prepared for broader commercial release.
Early Adopter Access is not the same as the legacy Profitility Beta Tester program and does not impose Beta Tester confidentiality, formal testing, or feedback obligations unless the user separately agreed to those terms.
2. ELIGIBILITY
Eligibility is determined by Profitility according to the Early Adopter enrollment period and the account’s qualifying creation or enrollment information. The Company may use account records and server-side access rules to determine eligibility.
An eligible account may receive an Early Adopter Professional entitlement. The entitlement is personal to the eligible account and may not be transferred, sold, or assigned.
3. COMPLIMENTARY PROFESSIONAL ACCESS
Eligible Early Adopters receive complimentary access to eligible Profitility Professional features throughout the Early Adopter period.
Complimentary Early Adopter Professional access will continue for two (2) additional calendar months after Profitility’s paid launch date.
The Company intends to provide advance notice of the paid-launch transition and the expected end of complimentary Early Adopter Professional access.
4. NO AUTOMATIC CHARGE OR PAID CONVERSION
Early Adopter status alone does not create a charge, does not authorize the Company to charge a payment method, and does not automatically convert into a paid subscription.
A paid Profitility Professional subscription, free trial, or introductory store offer requires a separate affirmative transaction initiated by the user through the applicable purchase process.
Participation in Early Adopter Access does not by itself consume or activate a future app-store trial or introductory subscription offer, although eligibility for any future store offer remains subject to the applicable platform provider’s rules.
5. AFTER COMPLIMENTARY ACCESS ENDS
After complimentary Early Adopter Professional access ends, the user may continue with the then-available free or Basic offering, subject to applicable terms, or may separately choose a qualifying paid Professional subscription if offered and eligible.
If another valid Professional entitlement applies to the account, Professional access may continue according to the terms of that entitlement.
6. DEVELOPMENT-STAGE EXPERIENCE
Early Adopters acknowledge that Profitility remains under active development. During the Early Adopter period:
• Features may be incomplete, modified, added, removed, or reorganized.
• Bugs, interruptions, performance issues, or unexpected behavior may occur.
• Calculations, OCR-extracted information, analytics, AI-generated outputs, and recommendations may contain errors or inaccuracies.
• Interfaces, workflows, limits, and Professional feature availability may change before or after paid launch.
The Company may make changes reasonably necessary for security, reliability, legal compliance, product development, or launch readiness.
7. FEEDBACK IS OPTIONAL
Early Adopters may voluntarily provide feedback, suggestions, or reports, but participation does not require formal testing or feedback. Voluntary feedback may be used by the Company to evaluate, maintain, develop, and improve Profitility without an obligation to compensate the user.
8. DATA AND PRIVACY
Early Adopter use is subject to the current Profitility Privacy Policy and Account Deletion & Data Retention Policy. Early Adopter status does not authorize separate sale of user personal data or create a broader ownership interest in user data.
9. AI, OCR, FINANCIAL, AND TAX INFORMATION
OCR-extracted data, automated calculations, analytics, AI-generated outputs, and other Service-generated results are informational only and may contain errors, omissions, or inaccuracies.
The Service provides informational and organizational tools only and does not constitute tax, legal, accounting, financial, investment, or other professional advice. Users remain responsible for verifying material information and for their own records, filings, compliance, and business decisions.
10. WARRANTY DISCLAIMER
The Service is provided “AS IS” and “AS AVAILABLE.”
To the fullest extent permitted by law, the Company disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy or reliability. Early Adopter participation does not create a guarantee that any feature will remain available or reach commercial release.
11. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Grindstone Holdings LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost wages, tax consequences, OCR or data inaccuracies, AI-generated output inaccuracies, or business decisions made using the Service.
To the fullest extent permitted by law, total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim, or fifty dollars ($50) if no payment has been made.
12. SUSPENSION OR TERMINATION
The Company may suspend or terminate access for violation of applicable terms, fraud, abuse, unlawful activity, or conduct that threatens the security or integrity of the Service. The Company may also end or transition the Early Adopter program as part of paid launch, subject to the complimentary-access commitment stated in this Agreement for eligible Early Adopters.
13. ARBITRATION
Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in Hamilton County, Tennessee, except where prohibited by law. You waive the right to participate in class actions or class-wide proceedings.
14. ACCEPTANCE RECORD
Profitility may record the Early Adopter Agreement type, Version: value, acceptance date and time, account identifier, and language presented. This record may be retained to document participation and the terms accepted.
15. CHANGES TO THIS AGREEMENT
The Company may modify this Agreement from time to time. Material changes may be communicated by in-app notice, email when available, an updated Effective Date, or a request for affirmative re-acceptance.
A change to this Agreement will not retroactively convert Early Adopter status into authorization for an automatic paid subscription.
16. GOVERNING LAW
This Agreement is governed by the laws of the State of Tennessee, United States, with venue and jurisdiction in Hamilton County, Tennessee.
