This Platform Non-Affiliation Statement (“Statement”) governs your use of the Profitility mobile application and related services (collectively, the “Service”).

By using the Service, you acknowledge and agree to this Statement.

1. Non-Affiliation

Profitility is not affiliated with, endorsed by, or sponsored by any third-party delivery or gig platform.

This includes, but is not limited to:
• Uber
• DoorDash
• Instacart
• Spark Driver
• Grubhub
• Postmates
• Shipt

2. Platform References

Platform names are used solely for:
• User identification
• Data categorization
• Personal recordkeeping

3. Data Usage

The Service processes data provided by users for analytics and recordkeeping purposes.

Users are responsible for ensuring their use of the Service complies with third-party platform terms.

4. Limitation of Liability

To the fullest extent permitted by law, Grindstone Holdings LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost wages, or data inaccuracies.

This includes, without limitation:
• Platform account suspensions or terminations
• Data discrepancies or reporting differences
• OCR errors or user input inaccuracies

Total liability shall not exceed:
• The amount paid by the user in the twelve (12) months preceding the claim, or
• Fifty dollars ($50) if no payment has been made

5. Enforcement / Termination

The Company may suspend or terminate access for violation of these terms, including fraud, abuse, or unlawful activity.

6. Third-Party Services

The Service relies on third-party providers for infrastructure, analytics, OCR processing, and related services.

We are not responsible for service interruptions, data loss, or performance issues caused by third parties.

7. Modifications

The Company may modify these terms at any time. Continued use of the Service constitutes acceptance of the revised terms.

Material changes may be communicated through:
• In-app notification
• Email (if available)
• Updated Effective Date

8. Arbitration

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in Hamilton County, Tennessee, except where prohibited by law. You waive the right to participate in class actions or class-wide proceedings.

9. Governing Law

This Agreement is governed by the laws of the State of Tennessee, United States, with venue and jurisdiction in Hamilton County, Tennessee.
